Kimia legalterms.

By participating in the Kimia token fundraise or using any Kimia interface, you acknowledge and agree to the following terms.

  1. 01

    No Guarantees

    The KIMIA tokens are provided on an “as-is” and “as-available” basis. Participation in the fundraise does not come with any guarantees, promises, or assurances of any kind, including but not limited to financial return, yield, performance, future utility, or access to any platform, product, or service.

  2. 02

    Not an Offer of Securities

    KIMIA tokens do not represent a security, equity, loan, or ownership interest in any entity or project. Participation in the fundraise is not intended to be, and shall not be construed as, an offering of securities, nor does it constitute an offer or solicitation in any jurisdiction where such activity is unlawful. You are responsible for ensuring that participation is lawful in your jurisdiction and must refrain from participating if it is not.

    Final Sale

    All contributions made as part of the fundraise are final and non-refundable, except as provided by the fundraise mechanism itself (including the return of funds if the minimum funding threshold is not reached). You will not be entitled to any other refund or compensation under any circumstances, including loss of value or inability to use the tokens.

    Protocol Risk

    Kimia is experimental software built on Solana. The protocol is currently in private beta and has completed an initial security audit; it is available on devnet for now, so you can try it out without committing real funds. An audit does not guarantee that the smart contracts are free of bugs or vulnerabilities. Yields generated by the protocol, including funding rate yields, are variable, market driven, and may be negative during certain periods. Once live, you may lose some or all of the value you deposit or contribute. Do not participate with funds you cannot afford to lose.

    Governance

    The Kimia project is governed by a decision market (futarchy) established through the fundraise. Project funds are held by on-chain programs under the control of that governance process, not by the project contributors. The decision market may modify budgets, redirect funds, or change the project’s direction at any time in accordance with its rules. Project contributors provide services on an independent contractor basis as approved by the decision market.

    Intellectual Property

    Project intellectual property, including code repositories, domains, brand assets, and deployed program authorities, is held by or transferred to the DAO-adjacent legal entity associated with the project, as described in the fundraise materials. Token holders do not acquire legal ownership of, or rights in, that entity by holding tokens.

    No Liability

    To the fullest extent permitted by applicable law, the Kimia project contributors and their affiliates, agents, and representatives shall not be liable for any direct or indirect loss or damage arising from participation in the fundraise or use of the protocol, including trading losses, loss of data, revenue, profit, or opportunity, or any errors, delays, or technical failures.

    No Advice

    Nothing published by the Kimia project constitutes financial, investment, legal, or tax advice. You are solely responsible for your own decisions and should consult your own advisors before participating.

  9. 09

    Platform Terms

    The fundraise is conducted on the Futardio platform. Your participation is additionally subject to the Futardio Terms of Service and the mechanism documentation at docs.metadao.fi, which you confirm you have reviewed.

    Changes

    These terms may be updated from time to time. Continued participation or use after changes constitutes acceptance of the updated terms.
